1. Acceptance of Terms

By accessing or using AfterCut Studio, you acknowledge that you have read, understood, and agree to be bound by these Terms. These Terms constitute a legally binding agreement between you ("User", "you") and AfterCut Studio ("we", "us", "our").

2. Description of the App

AfterCut Studio is a macOS screen recording and video editing application that allows you to:

• Record your screen, camera, and microphone
• Edit recordings with zoom animations, captions, backgrounds, and camera overlays
• Export finished videos in various formats and codecs

The App operates entirely on your local device. All recordings, projects, and data are stored on your Mac and are not transmitted to external servers.

3. License Grant

3.1 Mac App Store

If you obtained AfterCut Studio through the Mac App Store, your use is governed by the Apple Licensed Application End User License Agreement (Apple EULA) in addition to these Terms. In the event of a conflict, the Apple EULA takes precedence for Mac App Store purchases.

3.2 Website Distribution

If you obtained AfterCut Studio from our website, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use the App on macOS devices you own or control, subject to a valid license key and these Terms. License keys are validated through the Polar.sh licensing service. A working internet connection may be required for license activation and periodic validation.

3.3 Restrictions

You may not:

• Copy, modify, distribute, sell, or lease any part of the App
• Reverse-engineer, decompile, or disassemble the App, except as permitted by applicable law
• Circumvent, disable, or interfere with any licensing or security mechanisms
• Use the App for any unlawful purpose
• Sublicense, rent, or lend your license to any third party
• Remove, alter, or obscure any proprietary notices or labels on the App

4. Intellectual Property

4.1 Ownership

AfterCut Studio, including its code, design, graphics, user interface, and documentation, is the intellectual property of AfterCut Studio and is protected by copyright, trademark, and other intellectual property laws. All rights not expressly granted in these Terms are reserved.

4.2 Your Content

You retain full ownership of all content you create using the App, including screen recordings, edited videos, and exported files. We claim no rights to your content. The App does not upload, transmit, or access your content in any way beyond local on-device processing.

5. System Permissions

AfterCut Studio requires certain macOS permissions to function. By granting these permissions, you authorize the App to:

• Screen Recording: Capture the contents of your screen for the purpose of creating recordings
• Microphone Access: Record audio input from your microphone (optional)
• Camera Access: Capture video from your camera for webcam overlays (optional)
• Speech Recognition: Process audio locally to generate captions (optional)

You may revoke any permission at any time through macOS System Settings. Revoking the Screen Recording permission will prevent the App from functioning. Speech recognition is performed entirely on-device using Apple's system frameworks.

6. Privacy

Your privacy is important to us. Please refer to our Privacy Policy for detailed information about how the App handles your data. In summary: the App does not collect, transmit, or store any personal data on external servers.

7. Updates

7.1 Mac App Store

Updates are delivered through the Mac App Store according to your macOS update preferences.

7.2 Website Distribution

The App may check for updates periodically by contacting our update server. This check transmits no personal data. You can disable automatic update checks in the App's preferences. We recommend keeping the App up to date for the best experience and latest security improvements.

8. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that:

• The App will meet your specific requirements
• The App will be uninterrupted, timely, secure, or error-free
• The results obtained from using the App will be accurate or reliable
• Any errors in the App will be corrected

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your use or inability to use the App
• Any unauthorized access to or alteration of your recordings or data
• Any interruption or cessation of the App's functionality
• Any bugs, viruses, or similar issues transmitted through the App
• Any errors or omissions in any content or output produced by the App

OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE APP IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless AfterCut Studio and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with:

• Your use of the App
• Your violation of these Terms
• Your violation of any third-party rights, including intellectual property or privacy rights
• Any content you create, record, or distribute using the App

11. Responsible Use

You are solely responsible for ensuring that your use of the App complies with all applicable laws, regulations, and third-party rights. In particular:

• You must have the right or permission to record any content captured by the App
• You are responsible for complying with applicable recording consent laws in your jurisdiction
• You must not use the App to record, distribute, or create content that is illegal, infringing, defamatory, or otherwise harmful
• You are solely responsible for the content of any recordings and exports you create

12. Termination

12.1 By You

You may stop using the App at any time by uninstalling it from your device.

12.2 By Us

We may terminate or suspend your license if you violate these Terms. Upon termination, you must cease all use of the App and delete all copies.

12.3 Survival

Sections 4 (Intellectual Property), 8 (Disclaimer of Warranties), 9 (Limitation of Liability), 10 (Indemnification), and 13 (Governing Law) shall survive any termination.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with applicable law, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the App shall be resolved through good-faith negotiation first, and if unresolved, through binding arbitration or the courts of competent jurisdiction.

14. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.

15. Entire Agreement

These Terms, together with our Privacy Policy and any applicable Apple EULA, constitute the entire agreement between you and AfterCut Studio regarding your use of the App and supersede all prior agreements, understandings, and communications.

16. Changes to These Terms

We reserve the right to modify these Terms at any time. Changes will be reflected in the "Last Updated" date at the top of this document. Your continued use of the App after any changes constitutes acceptance of the updated Terms. We encourage you to review these Terms periodically.
